    IN THIS ARTICLE, KOO YIN SOON ANALYSES THE EXPECTED CHANGES TO THE WINDING UP PROCESS IN THE COMPANIES BILL 2013.

    The Companies Bill 2013 is expected to be tabled in Parliament in the first quarter of 2015. The Bill introduces various changes and reform to, inter alia, the winding up process. This article focuses on the process governing cessation of companies[2] and is the first in a series of articles on the new Bill. Judicial Management and Creditors Voluntary Arrangements will be considered in the next article in this series.

    Reducing timelines for the winding up process

    Presently, there is no timeframe prescribed within which the petition to wind up a company has to be filed after the issuance of the statutory notice (Section 218 notice). The CB 2013 requires a petition to be filed in Court within six months of the statutory notice (Section 447 Notice which substitutes the present Section 218 Notice).[3] This limits the lifespan of a Section 218 Notice and is envisaged as having been introduced to curb abuse and to set useful timelines for potential settlement processes.

    Introduction

    Complaints of overcharging are a perennial occupational hazard faced by lawyers. As noted by the Court of Three Judges (the "Court") in the recent decision of Law Society of Singapore v. Andre Ravindran Saravanapavan Arul [2011] SGHC 224, overcharging may occur because lawyers' work is "not quantifiable in terms of money" or may be overvalued by lawyers themselves. How can lawyers help themselves to minimize allegations of overcharging by unhappy clients? This case provides some guidance.

    Facts

    The respondent faced show cause proceedings on a charge of grossly improper conduct following a Disciplinary Tribunal’s determination that he had grossly overcharged his client, a management corporation, by rendering various bills for a total fee of $226,308.12 (including $572.35 for disbursements) for a 13-month period of preparatory work concerning recovery of misappropriated moneys. Such work included “attending to clients, seeking information from the police, answering queries, researching the law and giving legal opinions”, but “did not result in any letter of demand being sent to the intended defendants”.
