    CAN A CONTRACT BE TERMINATED WITHOUT PROVIDING REASONS?*

    IN THIS ARTICLE, LILIEN WONG ANALYSES THE RECENT FEDERAL COURT DECISION OF SPM MEMBRANE SWITCH SDN BHD V. KERAJAAN NEGERI SELANGOR[1] ON THE VALIDITY OF A NOTICE OF TERMINATION.

    Introduction

    Subject to other prerequisites for an enforceable contract to arise, a contract exists when two or more competent parties voluntarily agree to be legally bound by an arrangement. In contrast, the termination of a contract, more often than not, occurs unilaterally. Generally, the termination of a contract may be achieved with the issuance of a notice of termination by the terminating party to the counterparty. Such a termination, if not properly effected, may be challenged particularly when the terms of the contract are unclear or ambiguous. Disputes may arise as to the mode of termination, the manner in which a termination is effected or the grounds of termination. A wrongful termination may result in significant financial implications on the part of the terminating party.

    The dispute

    A dispute arose between the State Government of Selangor (“State Government”) and SPM Membrane Switch Sdn Bhd (“SPM”) in relation to a privatisation agreement where the State Government appointed SPM to assist with the collection of outstanding quit rent in the State of Selangor (“Agreement”). The State Government issued a notice of termination informing SPM that it would terminate the Agreement after a 30-day notice period. The termination was then effected by way of a subsequent letter after the 30 days had lapsed.

    ABSTRACT

    The oil industry is, for the moment at least, unarguably the most critical sector of the Nigerian economy. Government has pursued a policy (controversial in form, methodology and substance) to deregulate the sector. This policy has culminated in the withdrawal of fuel subsidy that is perceived to have caused untold hardship to the common man. This perception has been aggravated by the recent confirmation by a House of Representatives Ad-hoc Committee of the existence of massive corruption in the subsidy regime. The step taken by Government to send the Petroleum Industry Bill 2012 consolidating all the laws regulating the petroleum industry in one enactment was therefore bound to be controversial. This article is an attempt to briefly dissect the bill from a constitutional and legal perspective with a view to infusing best practices in the industry and consequently enhancing the benefits of this natural endowment to the Nigerian state.

    A. PREAMBLE

    Recently, the executive arm forwarded a bill, the Petroleum Industry Bill 2012, to the National Assembly to enact it into law. This was sequel to the protests which engulfed the nation as a result of the policy of Government to deregulate the downstream petroleum sector, a policy which would have culminated in the total removal of fuel subsidies. Following the protests, it had been found by a House of Representatives Ad-hoc Committee that several petroleum products marketers had defrauded the nation on fuel subsidy payments. The uproar that accompanied this latter development and the need to consolidate and harmonise all the laws governing the petroleum industry resulted in the introduction of this draft legislation. The idea of a Petroleum Industry Bill has however been mooted for some time.[1]

    Abstract

    Islamic finance litigation is a special area of practice where we can see the Shariah issues are litigated and adjudicated within the civil judicial framework. The Bank Negara Malaysia in its Malaysian Financial Masterplan 2001-2010 did mention that a sufficient number of competent lawyers and judges equipped with sound knowledge and expertise in both Shariah and civil laws is needed. Hence, in this article, the author seeks to explore the scope of the Islamic finance litigation practice in Malaysia.

    Introduction

    Litigation, being the dispute resolution process through the courts of law, is undeniably the most popular method of determining the domestic Islamic financial disputes. According to the Global Islamic Finance Report (GIFR 2011), the Malaysian litigation framework does provide support to the Islamic banking and finance industry. By virtue of the common law system inherited from the British colonialists, the Malaysian courts adopt the doctrine of judicial precedent (stare decisis) and publicly report landmark decisions, thereby facilitating the development of certainty and predictability of dispute resolution outcomes for Islamic banking and finance cases.[1]

    It is also observed that not all of the Islamic bankers and customers are agreeable to refer their disputes to arbitration or mediation. Most of the financing documents prepared by the Islamic banks in Malaysia do not contain any arbitration clause. In a survey conducted by Associate Professor Dr. Hakimah Yaacob on ten Islamic banks and 12 takaful operators, she found that there was a credit policy in many of these Islamic financial institutions not to include the alternative dispute resolution clauses in their contract and opt for litigation.[2]
